These Terms of Service ("Terms") govern your use of Nanaloco (the "Service"), operated by Nuri Studios LLC ("NanaLoco," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

1. What NanaLoco is

Nanaloco is an AI-powered gift-discovery tool. You describe a gift recipient — by text, voice, or photo — and the Service suggests specific products and links you to third-party retailers where you can buy them. Nanaloco.com is currently offered as a Beta service and is free to use.

We are not a retailer. We don't sell, ship, or fulfill any products. All purchases are made on third-party websites under their own terms (see Section 6).

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service. The Service is not intended for children. By using it, you represent that you meet these requirements.

3. Beta service and changes

The Service is under active development. We may add, change, suspend, or remove features at any time; we may impose usage or rate limits; and parts of the Service may be unavailable, incomplete, or contain errors. We may also modify or discontinue the Service (in whole or in part) without notice or liability.

4. AI-generated recommendations — important disclaimer

Gift suggestions, product descriptions, "personality" insights, and reasoning are generated by automated AI systems and are provided for informational and inspirational purposes only. You acknowledge that:

• Suggestions may be inaccurate, incomplete, outdated, unavailable, or unsuitable for your recipient.
• Product names, prices, availability, images, and ratings are estimates or are supplied by third parties and may differ from what you find at the retailer. Always verify price, availability, age-appropriateness, and safety on the retailer's site before purchasing.
• We do not guarantee that any suggested product exists, is in stock, is correctly priced, or will be appropriate or satisfactory.
• AI output is not professional advice of any kind.

You are solely responsible for your purchasing decisions.

5. Your content and submissions

"Your Content" means the descriptions, filters, voice recordings, photos, and other materials you submit. You represent and warrant that:

• You have the right to submit Your Content, including any information about other people, and doing so doesn't violate any law or third-party right.
• You will not upload content that is unlawful, infringing, sexually explicit, hateful, or that contains another person's sensitive personal information without authorization.
• You will not upload images of which you do not own the rights or have permission to use.

You grant us a limited, worldwide, royalty-free license to use, process, and transmit Your Content solely to operate and provide the Service, including sending it to our AI and infrastructure providers (see our Privacy Policy). We don't claim ownership of Your Content.

6. Third-party retailers and affiliate links

The Service links to third-party retailers and may use affiliate programs, including the Amazon Associates Program and others (such as Walmart via Impact.com). We may earn a commission when you click a link and make a qualifying purchase, at no additional cost to you. Affiliate relationships do not influence which gifts we recommend.

When you leave NanaLoco to visit a retailer, your transaction is solely between you and that retailer and is governed by its terms and privacy policy. We are not responsible for third-party products, prices, availability, fulfillment, returns, customer service, or any other aspect of your purchase.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to circumvent rate limits, security, or access controls; scrape, crawl, or bulk-extract data; or overload or disrupt the Service.
• Reverse engineer, decompile, or attempt to extract source code or underlying models, except where such restriction is prohibited by law.
• Submit prompts or content designed to manipulate, jailbreak, or misuse the underlying AI, or to generate harmful, infringing, or unlawful output.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Upload malware or use the Service to harm others.

We may suspend or terminate access for any violation.

8. Intellectual property

The Service, including the Nanaloco name, logo, design, text, and software (excluding Your Content and third-party materials), is owned by Nuri Studios LLC and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial gift shopping. All rights not expressly granted are reserved.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect and use information, including how AI processing and analytics work.

10. Disclaimer of warranties

THE SERVICE AND ALL CONTENT AND RECOMMENDATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that recommendations will meet your expectations. Some jurisdictions don't allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NURI STUDIOS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY PURCHASE MADE THROUGH A THIRD-PARTY RETAILER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED the greater of USD $50 or the amount you paid us (if any) in the 12 months before the claim. Because the Service is free, this amount will typically be USD $50 or the minimum permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law (such as certain consumer rights).

12. Indemnification

You agree to indemnify and hold harmless Nuri Studios LLC from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive termination (including Sections 5–12, 14, and 15) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of TN, USA, without regard to conflict-of-laws rules. You agree that any dispute will be resolved exclusively in the courts located in TN, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above and, for material changes, provide a more prominent notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
